Wholesale Terms of Sale
This wholesale website (b2b.freddotoys.com) is operated by Freddo Toys ("we", "us"). It is reserved for approved business customers (retailers, distributors and dealers). By creating an account or placing an order you accept these terms, together with our Shipping, Returns & Warranty, Pre-order and Privacy policies.
1. Wholesale accounts
Accounts are opened by invitation and approval only. You are responsible for every order placed with your login and must keep your access details private. Wholesale prices are confidential and may not be shared with third parties. We may suspend or close an account that breaches these terms.
2. Prices
Your account is assigned to one wholesale program — Distributor, Free Freight Program or Dropship Free Freight — and you see that program's prices when you are logged in. Free Freight and Dropship Free Freight prices include delivery; Distributor accounts receive freight terms confirmed by our team with the order.
All prices are in USD and may change without notice; the price that applies is the one shown at checkout when you place the order. Retail prices shown on product pages are our Manufacturer's Suggested Retail Price (MSRP).
3. Orders
An order is accepted when we confirm it. We may decline or cancel an order (with a full refund of anything paid) for pricing errors, stock problems or account issues. Please check quantities, colours and ship-to address before you place the order.
4. Payment
Payment is due at checkout by credit card, unless your account has approved payment terms (for example Net 30), in which case the terms and due date are shown at checkout and on the invoice. Overdue invoices may put new orders on hold until they are paid.
5. Taxes
Prices do not include sales tax. Sales tax is charged where applicable unless you provide a valid resale or exemption certificate for the ship-to state, which you can send to orders@freddotoys.com before ordering.
6. Shipping and title
Orders ship from our warehouses in Baltimore (MD), California and Miami (FL). Delivery terms are set out in our Shipping Policy. Title and risk pass to you on delivery.
7. Minimum Advertised Price (MAP)
To protect our dealers and the brand, products may not be advertised below their MSRP, the retail price shown on each product page. This applies to any public price: websites, marketplaces, social media, emails, flyers and in-store signage. The price you finally charge a customer in your own store is your decision; only advertised prices are covered. Repeated MAP violations may lead to the loss of wholesale pricing or the closure of the account.
8. Returns and warranty
Wholesale orders can only be returned for transport damage or manufacturing defects, as described in our Returns & Warranty Policy. Unsold stock is not returnable.
9. Product use and safety
Our products are toys, not real vehicles. Please pass the user manual and safety instructions on to your customers. We are not responsible for damage or injury caused by misuse, modification, water exposure or failure to follow the instructions.
10. Trademarks and content
You may use our product photos and descriptions to sell our products. Licensed brand names (such as Mercedes-Benz, Lamborghini or Can-Am) belong to their owners and may only be used to describe the licensed product. You may not use our trademarks in a way that suggests you are Freddo Toys.
11. Limitation of liability
To the extent allowed by law, our liability for any order is limited to the amount paid for the products concerned, and we are not liable for indirect losses such as lost profit or business interruption.
12. Governing law
These terms are governed by the laws of Canada.
